By accessing and using Peyaa (“Platform”), operated by Peyaa Technologies Limited, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you (“User”, “you”) and Peyaa Technologies Limited (“Peyaa”, “we”, “us”). By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

When creating and maintaining your Peyaa account, you agree to:

We reserve the right to suspend or terminate accounts that violate these terms or engage in suspicious activity, with or without prior notice depending on the severity of the violation.

All financial transactions on Peyaa are subject to the following terms:

• Wallet Funding: Top-ups are processed through Paystack and are subject to their terms. Funds typically reflect within minutes of successful payment.
• Withdrawals: Withdrawal requests are processed to your verified bank account. Processing times vary but typically complete within 24 hours.
• Gift Card Trades: Submitted trades are reviewed by our team. Approved trades are credited to your wallet automatically. Rejected trades include a reason for rejection.
• VTU Purchases: Airtime, data, electricity, and TV subscription purchases are processed in real-time. Failed transactions are automatically refunded to your wallet.
• Transaction Fees: We may charge fees for certain services. All applicable fees will be clearly disclosed before you confirm a transaction.

You agree not to use Peyaa for any of the following:

Violation of these prohibitions may result in immediate account suspension, forfeiture of wallet balance, and referral to law enforcement authorities where applicable.

All content on Peyaa, including but not limited to the logo, brand name, design, text, graphics, software, and user interface, is the property of Peyaa Technologies Limited and is protected by Nigerian and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Platform or its content without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

To the maximum extent permitted by Nigerian law, Peyaa shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Loss of data, profit, or business opportunity resulting from service interruptions or technical failures
• Delays or failures in third-party services (payment processors, VTU providers, network operators)
• Unauthorized access to your account resulting from your failure to protect your credentials

Our total liability for any claim related to our services shall not exceed the amount you paid to Peyaa in the 12 months preceding the claim.

Our Platform may contain links to third-party websites or services that are not owned or controlled by Peyaa. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services.

Your use of third-party services, including payment processors (Paystack) and VTU providers (VTPass), is subject to their respective terms of service and privacy policies.

Peyaa reserves the right to modify these Terms of Service at any time. When we make changes:

• The “Last updated” date at the top of this page will be revised
• For material changes, we will notify you via email or an in-app notification at least 14 days before the changes take effect
• Continued use of the Platform after changes are posted constitutes your acceptance of the revised terms

We encourage you to review these terms periodically to stay informed about your rights and obligations.

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these terms shall be resolved through:

• Mediation: First, through good-faith mediation between the parties
• Arbitration: If mediation fails, through binding arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023
• Courts: You irrevocably submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria for any matters that cannot be resolved through arbitration
